This is on the lower end of the condition scale. It's impossible to grade based on photos alone, but I'd say probably around VG. Is there any firmness left to the paper, or is it limp? Has the note been washed, pressed, or repaired? I ask because the serial numbers seem to be disappearing—from wear, rubbing, washing... Compare this note with the two DC-22e's in the CPMF register, and note the difference in serial number clarity/vividness/colour (of course their condition is better, but you get the idea):

Charlton lists a VG DC-22e at $300 CAD, which equates to $214 USD, so you'd be overpaying at $265 USD if my "virtual" VG grade is accurate. The seller might argue that the grade is higher, but without it being third-party graded (TPG), no one can say with any certainty on an online sale.
Personally, I wouldn't buy a Dominion note online that wasn't graded by a trustworthy TPG such as BCS (preferred) or PMG. Otherwise the note is more like a closet curio/someone's conversation piece. Is it valuable? it might be, or not. Did I get a fair price? Maybe, maybe not.
One last thing to consider is that lower condition notes generally don't appreciate much in the long term. If you kept your eyes open for an example in better condition and with more eye appeal, you'd likely have to pay more, but it would also gain more value over time.
